1. Agreement to Terms

By purchasing, installing, or using any Kyntic product or service ("Service"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

The Service is a monitoring and alerting service only. Kyntic does not provide active network defense, incident response, or remediation services unless separately contracted.

3. 90-Day Money-Back Guarantee

New customers may request a full refund within 90 days of the appliance ship date for any reason. To request a refund, contact us via the contact form on our website. Upon refund approval, the Customer must return the appliance hardware within 14 days. Kyntic will provide a prepaid return shipping label. Refunds are processed within 10 business days of receiving the returned hardware.

4. Subscription and Payment

The Service is billed annually in advance. Prices are listed on the Kyntic website and may change with 60 days written notice before a renewal period. Failure to pay may result in suspension of alert delivery and log shipping, though the appliance will continue local monitoring until retrieved.

The appliance collects network connection metadata and protocol headers only. No packet payloads are captured or stored. Collected data is encrypted in transit (TLS 1.2+) and at rest (AES-256). See our Privacy Policy for details on how data is processed, stored, and retained.

7. Hardware Ownership

The appliance hardware remains the property of Kyntic for the duration of the subscription. Upon subscription cancellation, the Customer must return the hardware within 30 days. If the hardware is not returned, a replacement fee may apply. Hardware that is damaged due to misuse, environmental factors, or unauthorized modification is the Customer's responsibility.

8. Service Availability

The appliance is designed to function independently of cloud connectivity. Local monitoring and rule evaluation continue even when the internet connection is unavailable. Cloud-dependent features (SMS alerts, log shipping, compliance reports) require internet connectivity and are subject to the availability of AWS infrastructure.

Kyntic does not guarantee any specific uptime SLA for cloud services. We will make commercially reasonable efforts to maintain availability.

9. Limitation of Liability

The Service is a monitoring tool and does not guarantee the prevention of security incidents. Kyntic is not liable for any damages, losses, or costs arising from security incidents on the Customer's network, whether or not those incidents were detected by the Service.

In no event shall Kyntic's total liability exceed the amount paid by the Customer for the 12 months of Service preceding the event giving rise to the claim.

10. Intellectual Property

All software, detection rules, and documentation provided as part of the Service remain the intellectual property of Kyntic. The Customer receives a limited, non-exclusive, non-transferable license to use the Service for the duration of their subscription.

11. Termination

Either party may terminate the subscription at the end of the current billing period with 30 days written notice. Kyntic may terminate the Service immediately if the Customer violates these Terms. Upon termination, the Customer may request an export of their raw log data within 30 days. After 30 days, data will be retained per the standard retention policy (7 years) but alert delivery and reporting will cease.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration.

13. Changes to Terms

Kyntic may update these Terms with 30 days notice via email to the address on file. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.
