1. Agreement to Terms
By purchasing, installing, or using any Kyntic product or service ("Service"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Service Description
Kyntic provides a safety appliance and managed service consisting of:
- A pre-configured hardware box that sits in the command path between an AI controller and a robot's motor network
- Two checks on each command: an AI judge against your rules, and a deterministic check against your robot's physical limits
- Hardware-level blocking of commands that fail either check
- Text alerts when a command is blocked
- A signed, append-only audit log of commands and blocks
Kyntic is a safety layer that reduces the risk of unsafe AI-driven motion. It is not a substitute for the robot's own functional safety systems, emergency stops, guarding, or your site's safety procedures, all of which must remain in place.
3. Customer Responsibilities
The Customer is responsible for:
- Providing accurate robot limits and safety rules for configuration
- Wiring the box correctly between the AI side and the motor side
- Keeping the robot's own safety systems, guarding, and emergency stops in place and functioning
- Maintaining physical security of the box at the installation site
- Responding to block alerts in a timely manner
- Not tampering with, modifying, or reverse-engineering the box
4. Subscription and Payment
The Service is billed in advance. Prices are listed on the Kyntic website and may change with 60 days written notice before a renewal period. Failure to pay may result in suspension of alert delivery and managed-service features.
5. Data Handling
The box collects command and safety-decision metadata only. Collected data is encrypted in transit (TLS 1.2+) and at rest (AES-256). See our Privacy Policy for details on how data is processed, stored, and retained.
6. Hardware Ownership
Unless otherwise agreed in writing, the appliance hardware remains the property of Kyntic for the duration of the subscription. Upon cancellation, the Customer must return the hardware within 30 days. If the hardware is not returned, a replacement fee may apply. Hardware damaged due to misuse, environmental factors, or unauthorized modification is the Customer's responsibility.
7. Service Availability
The box performs its two safety checks locally and continues to do so even when its internet connection is unavailable. Cloud-dependent features (text alerts, rule updates, log upload) require connectivity and are subject to the availability of our infrastructure. Kyntic does not guarantee any specific uptime SLA for cloud features and will make commercially reasonable efforts to maintain availability.
8. Limitation of Liability
The Service reduces the risk of unsafe AI-driven motion but does not guarantee the prevention of every incident. The Customer remains responsible for the safe operation of its machines and for maintaining all other required safety systems. Kyntic is not liable for any damages, losses, or costs arising from the operation of the Customer's machines, whether or not a related command was evaluated by the Service.
In no event shall Kyntic's total liability exceed the amount paid by the Customer for the 12 months of Service preceding the event giving rise to the claim.
9. Intellectual Property
All software, safety rules, and documentation provided as part of the Service remain the intellectual property of Kyntic. The Customer receives a limited, non-exclusive, non-transferable license to use the Service for the duration of their subscription.
10. Termination
Either party may terminate the subscription at the end of the current billing period with 30 days written notice. Kyntic may terminate the Service immediately if the Customer violates these Terms. Upon termination, the Customer may request an export of their safety audit data within 30 days.
11. Governing Law
These Terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration.
12. Changes to Terms
Kyntic may update these Terms with 30 days notice via email to the address on file. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.
